Frequently Asked Questions

Does paying for a piece of work automatically transfer intellectual property to me in Kenya?
No. Under Kenya's Copyright Act (Cap. 130), copyright vests in the creator by default, even if you commissioned and paid for the work. A written IP assignment signed by the creator is required to transfer ownership. Without it, you may only have a licence to use the work.
What types of IP can be assigned?
Copyright (creative works, software, written content), patents, trademarks, designs, and trade secrets can all be assigned in writing. Each type of IP has its own registration and assignment rules — software and creative works are covered by copyright; inventions by patents under the Industrial Property Act 2001.
Is an IP assignment agreement valid internationally?
Yes. IP assignments are recognised across common law countries. For international assignments, it is important to specify which country's law governs the agreement and, for registered rights (patents, trademarks), to record the assignment with the relevant IP registry in each jurisdiction.
